State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Cutera, Inc. (the “Company”) is unable, without unreasonable effort and expense, to file its Annual Report on Form 10-K (the “Form 10-K”) for the year ended December 31, 2023 by the March 15, 2024 filing deadline. The delay was due to additional time spent on the recent restatement of the financial statements included in the amended Quarterly Reports on Form 10-Q/A for the periods ended March 31, 2023 and June 30, 2023, both of which were filed with the SEC on March 5, 2024.
Additional time is required to complete the Form 10-K, including the financial statements that will be filed as part of the Form 10-K. The Company expects to file the Form 10-K after the fifteen day grace period prescribed by Rule 12b-25(b).

In the Form 8-K filed with the SEC on January 9 2024, the Company furnished its revenue in the range of $211.5 million to $212.5 million for the fiscal year ended December 31, 2023. The Company’s revenue for the fiscal year ended December 31, 2022 was $252.4 million.
