The 2008 Annual Meeting of Stockholders of Cutera, Inc. (the “Company”) will be held at the Company’s principal executive offices located at 3240 Bayshore Blvd., Brisbane, California at 10:00 a.m. local time on June 12, 2008. Only stockholders who owned stock at the close of business on the record date, April 18, 2008, (the “Record Date”), may vote at the Annual Meeting or any adjournment or postponement of the Annual Meeting that may take place.

Proposals to be voted on at the Annual Meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends that you vote FOR the following proposals:

 

  1. Election of the Company’s two nominee directors, Kevin P. Connors and David A. Gollnick;

 

  2. Approval of adoption of the Company’s 2004 Equity Incentive Plan (as amended); and

 

  3. Ratification of PricewaterhouseCoopers LLP as the Company’s Independent Registered Public Accounting Firm for the fiscal year ending December 31, 2008.

This Notice also constitutes notice of the 2008 Annual Meeting of Stockholders of the Company.
